SIDEY Terms of Use

These Terms set out the rights and responsibilities that apply when you use the SIDEY desktop service and digital customization items.

1. Purpose and scope

These Terms govern the SIDEY app, website, and related services (collectively, the “Service”) provided by the operator of SIDEY (the “Operator”). By installing the app or using the Service, you agree to these Terms and any separately disclosed operating policies. If applicable law gives you greater protection than these Terms, that law will apply.

2. Key terms

An “Account” is the identifier used to distinguish a user and connect groups, messages, and digital entitlements. A “Group” is a private space available only to friends who receive an invitation code. A “Digital Entitlement” is the right to use a character or another customization item through the purchasing Account; it does not transfer ownership or copyright in the item itself.

3. Publication and changes

The Operator makes these Terms available on the website. If a change is required because of law or the Service, the Operator will disclose its effective date and the reason for the change. Material changes that disadvantage users will be announced in advance for the period and by the method required by applicable law. Unless required by law or agreed by the parties, a purchase contract formed before a change remains governed by the terms in effect when it was formed.

4. The Service

SIDEY is a desktop overlay messenger that represents real friends as pixel characters. Its specific features, supported environments, scope of use, and limitations are described in the app or on the website and may vary by release channel or version.

5. Accounts and Groups

Available sign-in methods may vary by release channel. Accounts, Groups, and purchase records from different channels may not be merged or transferred automatically; additional guidance will be provided where needed. You are responsible for keeping your device and sign-in method secure. Do not post invitation codes publicly or use another person’s Account without permission.

6. Messages and acceptable use

You must not transmit unlawful material; infringe another person’s reputation, privacy, or copyright; harass others; access the Service or its servers abnormally; bypass purchase verification; distribute malicious code; or interfere with another user’s normal use of the Service.

7. Changes, suspension, and discontinuation

The Operator may change or temporarily suspend part of the Service for security updates, operating-system changes, maintenance, communication failures, or service improvements. Material changes that can be anticipated will be announced through the website or app in advance. Urgent security or incident responses may be announced afterward. If the Service is discontinued, reasonable notice will be given and unused paid rights will be handled under applicable law and the Refund Policy.

8. Purchases and payment

A purchase contract is formed when you review the product name, price, and delivery conditions and complete payment. Payment may be processed through an app marketplace or a payment service identified by the Operator. The Operator grants the Digital Entitlement after confirming payment. Orders containing false information, duplicate requests, or items that cannot technically be supplied may be rejected or cancelled.

9. Digital delivery and cancellation

The timing of digital delivery and the conditions for cancellation or refund are governed by applicable law and the Refund Policy. The Operator will make material delivery conditions and any limits on cancellation available before purchase. Nothing in these Terms limits rights guaranteed by applicable law.

10. Minors

A minor who needs consent from a legal representative must obtain that consent before making a purchase. A minor or legal representative may request cancellation where applicable law allows it, including certain purchases made without required consent.

11. Software license and intellectual property

Subject to these Terms, the Operator grants you a limited, non-exclusive, non-transferable license to install and run SIDEY on a supported personal computer. Individuals and organizations may use the app for ordinary work and non-work communication within friend Groups. A paid customization item grants only the right to use it through the purchasing Account and does not transfer ownership or copyright in its files, characters, or designs.

You may not copy, sell, rent, redistribute, or sublicense the app or paid assets without permission, or bypass purchase, ownership, or security controls. Except where expressly permitted by law, you may not reverse engineer, disassemble, or modify the software or remove rights notices. Rights in the SIDEY name, app, interface, pixel characters, and customization assets belong to the Operator or their lawful owners. The licenses and notices for third-party open-source components continue to apply to those components.

12. Restrictions, termination, and Account deletion

If a material violation of law or these Terms, or conduct threatening the safety of the Service, is confirmed, the Operator may restrict or terminate access and the software license after notice and a reasonable opportunity to cure. An urgent security risk or risk of harm to others may be restricted first and explained afterward. When the license ends, you must stop using the app and delete installed copies.

An Account may be deleted through the process provided in the app. Account deletion is separate from a refund request, and whether a purchase can be restored depends on the applicable release channel and payment provider. Provisions that by their nature should survive termination—including intellectual-property, liability, and dispute provisions—remain in effect.

13. Notices and third-party services

The Operator may send service notices through the app, website, or contact details you provide. Linked or integrated services are governed by the applicable provider’s own terms and policies. The Operator does not warrant the independent operation of a service it does not provide directly.

14. Service limitations and liability

Some features may be limited or behave differently depending on the device, operating system, security settings, other software, or network environment. Specific technical limitations are described in the app or on the website. SIDEY is not designed for safety-critical, medical, emergency, or other uses requiring immediate and uninterrupted delivery. Nothing in these Terms excludes liability that cannot be excluded under product-liability or consumer-protection law, or liability caused by the Operator’s intentional misconduct or gross negligence.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Korea. The parties will first attempt to resolve a dispute in good faith. If it remains unresolved, it will be heard by a court having jurisdiction under the Korean Civil Procedure Act and other applicable law. Users may also use legally available consumer-dispute resolution procedures, including those offered by the Korea Consumer Agency.

16. Effective date

These Terms take effect on September 4, 2026.
